Affiliate Terms and Conditions
Version 2.0 · Effective 23 September 2026
These HyroTrader Affiliate Programme Terms (the "Partner Terms" or "ATC") govern your participation in the HyroTrader Affiliate Programme operated by HYRO TECHNOLOGIES FZ-LLC (the "Provider") and made available through the www.hyrotrader.com website (the "Website").
Please read these Partner Terms carefully. You are under no obligation to participate in the Affiliate Programme. You may not participate unless you have read, understood and agreed to these Partner Terms. By submitting an application, by accepting these Partner Terms in the Partner Area, or by using a Referral Code issued to you, you agree to be bound by them.
These Partner Terms are a business-to-business agreement. You participate as an independent contractor promoting the Provider's own service. They are not an offer of employment, agency, partnership or joint venture, and they are not an offer of any financial service or investment opportunity to you (§2.6, §22.8).
Preamble
P.1 The Provider
"HyroTrader" is a brand under which the Service is provided by HYRO TECHNOLOGIES FZ-LLC (the "Provider", "Company", "we", "our" or "us"), a Free Zone Limited Liability Company incorporated in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, with company number FDBC5283, commercial licence number 47034334, and registered address Compass Building, Al Shohada Road, Al Hamra Industrial Zone – FZ, Ras Al Khaimah, United Arab Emirates.
The Provider is your sole contracting party under these Partner Terms and is solely responsible to you under them. Nothing in these Partner Terms creates a contractual relationship between you and any other entity mentioned in them.
P.2 Platform IP Owner
The brand, name, logos, trademarks, service marks, domain names and platform software you are licensed to use under §13 are owned by HYROTRADER TECHNOLOGIES LTD, a company incorporated in the British Virgin Islands under company number 2166693 and registered at Intershore Chambers, Road Town, Tortola, British Virgin Islands (the "Platform IP Owner"), and are licensed to the Provider (GTC §P.2). The Platform IP Owner is not a party to these Partner Terms and has no contractual relationship with you under them.
P.3 Relationship with the GTC and the other Policies
These Partner Terms are the "Affiliate Program Terms" referred to in the Companion Policies to the Provider's General Terms and Conditions (the "GTC") published on the Website. They govern your relationship with the Provider as a Partner. They do not govern, vary or extend the relationship between the Provider and any Customer, which is governed by the GTC and the Policies.
Where these Partner Terms use a capitalised term that is defined in the GTC and not defined here, the GTC definition applies. Where a provision of these Partner Terms conflicts with the GTC in respect of your participation as a Partner, these Partner Terms prevail; in respect of your own use of the Service as a Customer, the GTC prevails.
If you also hold an Account and participate in the Service as a Customer, you do so under the GTC, separately from these Partner Terms, and the two are not set off against each other except as §9.5 expressly provides.
P.4 Affiliates (group companies)
"Affiliates" has the meaning given in GTC §P.5: any entity that, directly or indirectly, controls, is controlled by, or is under common control with the Provider, including without limitation the Platform IP Owner and any successor, replacement, or additional operating, IP-holding, or payment-collection entity from time to time.
This meaning is different from the word "affiliate" as used in the name of the Affiliate Programme. In these Partner Terms, a participant in the Affiliate Programme is called a "Partner", never an "Affiliate". The term "Affiliates" always means group companies of the Provider.
P.5 What you are promoting is simulated
Everything the Provider offers under the Service is simulated. All trading activity conducted under the Service is simulated, in every phase, including the Funded Trader Phase. No real trades are executed in live financial markets, no real securities, commodities, currencies or cryptocurrencies are bought, sold or held for any Customer, and no Customer receives real capital to trade (GTC §3.2, §3.3).
The Provider does not provide financial advice, investment recommendations, brokerage, custody or any form of regulated financial activity (GTC §3.1).
Everything you publish about the Provider must be consistent with this. §10.7 and §10.8 set out what this means in practice and are among the most important obligations in these Partner Terms.

1.2 Interpretation
(a) "§" refers to a section of these Partner Terms unless it is preceded by "GTC", in which case it refers to a section of the General Terms and Conditions, or by "FTA", in which case it refers to a clause of the Demo Funded Trader Agreement.
(b) "Written", "in writing" and "notice" include email and notification in the Partner Area.
(c) "Including" and "in particular" are not words of limitation.
(d) Headings are for reference only and do not affect interpretation.
(e) A reference to a USD amount is a reference to the amount in United States dollars as a unit of account; payment is made in USDT or USDC under §8.4.
(f) Where these Partner Terms give the Provider a discretion, that discretion is to be exercised reasonably and in good faith and not arbitrarily (cf. GTC §28.9B).
2. Eligibility
2.1 Basic eligibility
To be, and to remain, a Partner you must:
(a) be at least 18 years old and have full legal capacity, or be a legal entity validly existing and in good standing;
(b) hold a registered Account on the Platform;
(c) have completed any identity, entity and beneficial-ownership verification the Provider requires under §2.4;
(d) not be an employee, officer, director or contractor of the Provider, of the Platform IP Owner, of the Funded Trader Entity, of the EEA Commercial Agent or of any other Affiliate. For this purpose a contractor is a person supplying services other than those described in these Partner Terms, in particular in customer support or IT; and
(e) comply with §2.2 and §2.3 at all times.
2.2 Sanctions and Prohibited Jurisdictions
You must not be, and must not be owned or controlled by, and must not act for the benefit of, a person who is:
(a) resident in, a citizen of, incorporated in, or located in any Prohibited Jurisdiction listed in GTC §12.1; or
(b) the subject of, or owned or controlled by a person subject to, sanctions imposed by the United Arab Emirates, the United Nations Security Council, the European Union, the United Kingdom or the United States, or listed on any applicable restricted-party list.
Your participation is additionally subject to enhanced due diligence on the grounds set out in GTC §12.2, and may be refused or ended on that basis.
An update to the Prohibited Jurisdictions or Restricted Jurisdictions lists that is required by sanctions, anti-money-laundering requirements, Applicable Law or a restriction imposed by a third party takes effect against you immediately on publication, notwithstanding §20 (cf. GTC §12.5).
2.3 Where you may promote
You must not knowingly promote the Service to, and must not target promotion at, any person in a Prohibited Jurisdiction. You must not use a Referral Code, a Tracked Link or any marketing material to assist any person to circumvent a geographic, regulatory or contractual restriction imposed by the Provider or by any third-party platform, exchange, terminal or infrastructure provider (cf. GTC §12.6A).
The Service is available to residents of the United States subject to GTC §23. Promotion to United States residents is permitted, and §10.7 and §10.8 apply to it with particular force.
2.4 Verification and continuing representations
The Provider may at any time require you to provide, and you must provide, identity documents, proof of address, entity registration documents, beneficial-ownership information, tax residence information and a self-certification, and any other documentation reasonably required for verification, sanctions screening or tax purposes. Commission may be withheld pending it (§8.7).
You represent, on entering into these Partner Terms and on each day of your participation, that §2.1 to §2.3 are satisfied and that all information you have given the Provider is true, accurate and complete. You must notify the Provider without delay if any of that ceases to be the case.
2.5 Ineligibility arising during the term
If you cease to satisfy §2.1, §2.2 or §2.3 you must notify the Provider immediately and cease all promotional activity. The Provider may suspend or terminate your participation under §17 and may withhold or forfeit unpaid Commission under §17.5.
2.6 Independent contractor
You participate as an independent contractor, on your own account, at your own cost and risk. Nothing in these Partner Terms creates any employment, worker, agency, partnership, joint venture, franchise or fiduciary relationship between you and the Provider, the Platform IP Owner, the Funded Trader Entity, the EEA Commercial Agent or any other Affiliate (cf. GTC §28.9; FTA 16.1).
You have no authority to bind, to contract for, to make any representation on behalf of, to accept anything on behalf of, or to hold yourself out as speaking for the Provider or any Affiliate. You are responsible for your own business costs, staff, subcontractors, equipment, insurance, registrations and compliance.
2.7 No exclusivity and no minimum
The Affiliate Programme is non-exclusive. The Provider may appoint any number of Partners, may market the Service directly and through any other channel, may operate its own discount codes and promotions, and may deal with any person whether or not you introduced them. You are not guaranteed any volume, territory, placement, campaign, code, rate or level of Commission.
3. Application, approval and the Partner Area
3.1 Application
To apply you must hold an Account and submit the affiliate application form published on the Website. The Provider assesses applications on the information submitted and may request further information, including details of the platforms, channels, audiences and methods you intend to use.
3.2 Approval is discretionary
Approval is at the Provider's discretion. The Provider may decline any application without giving reasons, and the submission of an application creates no entitlement to participate and no obligation on the Provider to respond within any particular period.
3.3 Conclusion of the agreement
These Partner Terms take effect between you and the Provider when you indicate your acceptance in the Partner Area, or when you first use a Referral Code issued to you following approval, whichever is earlier. Acceptance may be given by electronic means, and the Parties agree to contract by electronic means.
3.4 The Partner Area
On approval you are given access to the Partner Area, in which the Provider publishes your Referral Codes and their Code Terms, your Base Rate, your Tracked Links, approved marketing materials, your statements and your balance. Information published in the Partner Area forms part of these Partner Terms and is binding on both Parties, save that it does not vary a provision of these Partner Terms except where these Partner Terms expressly so provide.
The Provider may modify, replace, add to or remove any element or function of the Partner Area, of any Referral Code and of any Tracked Link at any time in accordance with §4.5, §20 or, where §11.5 applies, immediately.
3.5 Your channels
You must, on request, disclose every website, social media account, community, messaging channel, newsletter, application, advertising account and other channel on which you promote the Service. The Provider may examine any such channel before or at any time after approval and may prohibit the use of any of them at its discretion.
A channel you use must not be created solely to display advertising, must not be used to disseminate content that breaches §10.2, and must not be presented in a way that suggests it is operated by, or is official material of, the Provider (§11.4).
4. Referral Codes and Tracked Links
4.1 Issue
The Provider issues Referral Codes and Tracked Links to you through the Partner Area. They remain the property of the Provider, are personal to you, and may not be sold, transferred, sub-licensed, syndicated or made available to any other person to use as their own.
4.2 Only issued codes and links may be used
You may promote the Service only using a Referral Code or a Tracked Link issued to you through the Partner Area, and only in its unmodified form. You must not modify a Tracked Link or a banner, including its HTML, and must not create, generate, guess or use any code, link, parameter or tracking mechanism that the Provider has not issued to you. Doing so is a material breach of these Partner Terms.
4.3 Code Terms — each code carries its own conditions
A Referral Code is issued on the terms stated for it in the Partner Area at the time it is issued (its "Code Terms"), and those Code Terms govern that code. Code Terms may include any of the following, in any combination:
(a) single use — the code may be applied once only, or once per Customer;
(b) a total usage cap — the code ceases to be valid after a stated number of Qualifying Transactions;
(c) an expiry date or campaign window — the code is valid only for transactions entered into within that period;
(d) product, programme or promotion scoping — the code is valid only for a stated Challenge programme, account size, product or promotion;
(e) a commission rate specific to that code, which may be higher or lower than your Base Rate and which applies in place of your Base Rate for Qualifying Transactions on that code; and
(f) a discount or other benefit to the Customer, and the effect of that discount on the Commissionable Amount (§6.4).
Where a Code Term conflicts with a general provision of these Partner Terms about rate, scope, duration or number of uses, the Code Term prevails for that code. Where a Referral Code has no stated Code Term on a particular point, the general provisions of these Partner Terms apply to it.
4.4 Effect of a code that has expired or reached its limit
A transaction entered into with a Referral Code that has expired, that has reached its usage cap, that has been used where it was single-use, that is outside its product scope, or that has been withdrawn or disabled under §4.5 or §11.5, is not a Qualifying Transaction and generates no Commission. This is so whether or not the Platform accepted the code at checkout, and whether or not a discount was in fact granted to the Customer. Where the Platform has granted a discount on a code that was not valid, the Provider may recover the amount of that discount from you under §9.
4.5 Withdrawal, replacement and variation of codes
The Provider may withdraw, disable, replace, rename, re-scope or vary the Code Terms of any Referral Code or Tracked Link:
(a) on notice under §20, for any reason; or
(b) immediately and without notice, where §11.5 applies, where the code has been published in breach of §11, where the Provider reasonably suspects fraud, abuse or a breach of these Partner Terms, or where required by Applicable Law, by a payment scheme, by a sanctions measure or by a third-party provider.
Withdrawal or disabling of a Referral Code does not affect Commission already validly earned on Qualifying Transactions completed before the withdrawal took effect, except where §9 or §17.5 applies.
4.6 No entitlement to a particular code
You have no right to any particular Referral Code, to a particular code format, to the renewal of a code, to a code that carries a discount for the Customer, or to the continued availability of any code, discount or campaign.
5. Attribution — how a transaction is attributed to you
5.1 Attribution — the code applied, or the link last clicked
Commission is payable per transaction, and attribution is determined transaction by transaction. There is no continuing attribution of a Customer to a Partner.
Each transaction stands on its own. A transaction is attributed to the Partner whose valid Referral Code was applied to it at checkout or, where no valid Referral Code was applied, to the Partner whose Tracked Link the Customer last clicked within the Cookie Window (§5.4) — and to no one else. A Tracked Link earns Commission exactly as a Referral Code does, at the same rates and on the same terms.
5.2 Conditions of a Qualifying Transaction
A transaction is a "Qualifying Transaction" in relation to you only if all of the following are satisfied:
(a) a Customer has placed a Refundable Challenge Deposit with the Provider, or has paid for another item that is commissionable under §6.9;
(b) either a valid Referral Code issued to you, and in force under its Code Terms at the moment of checkout, was applied by the Customer to that transaction at checkout and was accepted by the Platform, or no valid Referral Code was applied to that transaction and the last Tracked Link the Customer clicked before checkout was a Tracked Link issued to you, clicked within the Cookie Window (§5.4);
(c) the amount payable in respect of the transaction has been received in full and cleared by or on behalf of the Provider;
(d) the Customer is not you, and the transaction is not a prohibited transaction under §12;
(e) the Customer is not in a Prohibited Jurisdiction and is not otherwise ineligible under GTC §12; and
(f) any hold period applicable to that transaction under §8.3 has expired without a Clawback Event occurring; where no hold period applies to the transaction, this condition is satisfied when the amount is received and cleared.
Conditions (a) to (e) determine whether Commission is earned. Condition (f) determines when it becomes payable.
5.3 Code at checkout wins
Where a valid Referral Code is applied at checkout, that code determines attribution and displaces any cookie, Tracked Link, click, session, landing-page parameter or other tracking signal, whenever recorded and whichever Partner it relates to. The code at checkout prevails in every case of conflict, including over a Tracked Link click that would otherwise attribute the transaction under §5.4. A Tracked Link click attributes a transaction only where no valid Referral Code was applied to it.
5.4 No code applied — the Tracked Link last clicked in the Cookie Window
Where no valid Referral Code is applied at checkout, the transaction is attributed to the Partner whose Tracked Link the Customer clicked most recently before checkout, provided that click was recorded within the Cookie Window. The “Cookie Window” is thirty (30) calendar days: it ends at checkout and begins thirty (30) calendar days before it. A transaction attributed in this way is a Qualifying Transaction on the same footing as one attributed by a Referral Code, and earns Commission at the same rates (§6, Schedule 1).
Last click wins. Where a Customer clicked the Tracked Links of more than one Partner within the Cookie Window, the transaction is attributed to the Partner whose link was clicked last, and to that Partner only. An earlier click is displaced by a later one.
A click also causes that Partner’s Referral Code to be displayed, or pre-filled, at checkout, so that the Customer can see whose code is being applied. The Customer may remove it or enter a different one; if a different valid Referral Code is applied at checkout, §5.3 governs and the code wins. Where no valid Referral Code is applied and no Tracked Link click is recorded within the Cookie Window, the transaction is not a Qualifying Transaction and generates no Commission for any Partner. A click, a visit, an impression or a figure in a link-tracking report earns nothing by itself: Commission arises only on a Qualifying Transaction under §5.2.
5.5 A code is not tied to a Customer, and a Customer is not tied to a Partner
A Referral Code is not allocated to, reserved for, or locked to any Customer. Subject to its Code Terms:
(a) the same Referral Code may be applied by many different Customers;
(b) the same Customer may apply your Referral Code to more than one transaction, and each such transaction is a separate Qualifying Transaction generating separate Commission;
(c) the same Customer may apply a different Partner's Referral Code to a later transaction, and that later transaction belongs to that other Partner and generates no Commission for you; and
(d) the same Customer may enter into a later transaction with no Referral Code applied, in which case §5.4 decides whether it is attributed to you, to another Partner or to no one; it is not attributed to you merely because you earned Commission on an earlier transaction of that Customer.
No Partner acquires any right, expectation or interest in the future transactions of any Customer. Attribution is per transaction: a Referral Code and a Tracked Link each earn on the transaction they are attributed to, and on no later purchase by that Customer. The Affiliate Programme does not confer lifetime, recurring, residual or perpetual commission on the transactions of a Customer, and no statement to that effect, wherever made, forms part of these Partner Terms or creates any entitlement (§22.5).
5.6 Determination of attribution
The Provider’s records of the Referral Code applied at checkout, of the Code Terms in force at that moment, of Tracked Link clicks and the times at which they were recorded, and of the amount received, are the record of attribution. The Provider determines attribution acting reasonably and in good faith. You may dispute a determination under §8.6.
5.7 Tracking failure
The Provider does not warrant that any Referral Code, Tracked Link, cookie, tracking pixel, integration or attribution system will operate without interruption or error. The Provider is not liable for Commission that would have been earned had a Customer applied a code, had a code not expired, had a tracking system operated correctly, or had a Customer's browser, device, network, ad-blocker or privacy setting permitted tracking.
6. Commission
6.1 Entitlement
Subject to these Partner Terms, you are entitled to Commission on each Qualifying Transaction attributed to you under §5, calculated under this §6, together with Network Commission under §7.
You are not entitled to Commission merely for promoting the Provider or the Service, for placing a banner, for sharing a Tracked Link, for the size of your audience, for a number of clicks or visits, or for any activity that does not result in a Qualifying Transaction.
Commission is earned on a transaction to which your Referral Code was applied at checkout or, where no valid Referral Code was applied, whose Customer last clicked your Tracked Link within the Cookie Window (§5.4). Clicks, impressions and audience size do not earn Commission by themselves, however large the numbers: a click earns only where it is the last click in the Cookie Window on a transaction to which no valid Referral Code was applied. If a Customer you introduced completes a transaction with another Partner’s Referral Code applied, no Commission arises for you on that transaction.
6.2 Level 1 rate — the Base Rate
Your Base Rate is the rate applicable to Qualifying Transactions attributed to you directly.
(a) The standard Base Rate is between 10% and 15% of the Commissionable Amount. The Provider sets your rate within that band on approval, having regard to your channel, audience and expected contribution, and records it in the Partner Area.
(b) The Base Rate may be increased, up to a maximum of 40% of the Commissionable Amount, by written agreement between you and the Provider's business development team. An increase is effective only when it has been recorded in the Partner Area or confirmed in writing by the Provider, is specific to you, applies only to Qualifying Transactions completed on or after its effective date unless it expressly states otherwise, and may be made subject to conditions, including volume, quality, conduct and duration conditions.
(c) An increased rate may be time-limited, campaign-limited or conditional, in which case it lapses or reverts to your standard Base Rate in accordance with its stated terms, without further notice.
(d) The Provider may vary your Base Rate, upwards or downwards, on notice under §20. A reduction takes effect only for Qualifying Transactions completed on or after the effective date of the notice, and does not affect Commission already earned.
(e) Rates are set per Partner. The Provider is under no obligation to offer you the rate offered to any other Partner, and the existence of a higher rate elsewhere gives you no entitlement.
(f) Where a Referral Code carries its own commission rate under §4.3(e), that rate applies to Qualifying Transactions on that code in place of your Base Rate.
6.3 No automatic tiering
There is no automatic advancement, tier ladder or volume-triggered rate increase. Reaching any level of volume, revenue or referral count does not by itself increase your Base Rate. An increase arises only under §6.2(b).
6.4 The Commissionable Amount
The "Commissionable Amount" for a Qualifying Transaction is the amount actually received and retained by, or on behalf of, the Provider in respect of that transaction, after deducting:
(a) any discount, credit, voucher or promotional reduction applied to the transaction, including any granted by your own Referral Code;
(b) any value-added tax, sales tax, digital services tax or other transaction tax or duty included in the amount paid;
(c) payment-processing, card-scheme, acquiring, blockchain network and currency-conversion fees and charges attributable to the transaction; and
(d) any part of the amount that has been, or falls to be, returned, refunded, reversed or charged back.
Where the amount was paid in a currency or asset other than United States dollars, the Commissionable Amount is converted to United States dollars at the rate applied by the Provider to the transaction.
6.5 What the Commissionable Amount relates to
Most Qualifying Transactions consist of the placing of a Refundable Challenge Deposit. The Deposit is refundable security for participation in the Challenge Program and is not a fee, price, entry fee, subscription or purchase consideration (GTC §7.1). The use in these Partner Terms of the words "transaction", "checkout", "purchase" or "amount paid" is for convenience of description only and does not alter that characterisation, does not make the Deposit consideration for any supply, and confers on you no interest of any kind in any Deposit.
Commission is a payment by the Provider to you for your promotional services. It is not a share of, a charge on, or an interest in any Deposit or any Customer's money.
6.6 Return of a Deposit when a Customer succeeds is not a Clawback Event
Commission earned on a Qualifying Transaction is not reversed, and does not become repayable, by reason only that the Refundable Challenge Deposit is afterwards returned to the Customer because the Customer satisfied the objectives of the Challenge, was invited into the Funded Trader Phase, or received the return of the Deposit on a first payout.
A return of a Deposit on any of those grounds is the intended outcome of the Challenge Program, is not a refund, and is not a Clawback Event for the purposes of §9. You keep the Commission. The better your referred Customers perform, the more Commission you retain.
Clawback applies to a genuine refund or return of a Deposit on the grounds listed in §9.1(a), to a chargeback, and to the closure of a Customer's Account for prohibited conduct — not to success.
6.7 Amounts that never generate Commission
No Commission arises on:
(a) a Free Trial, or any access provided at no cost;
(b) a sponsored, complementary, promotional, gifted or otherwise non-paid Challenge account, including one granted under the Sponsored Challenge Program Conditions and any Partner Challenge Account granted under §6.10;
(c) a reward, payout, profit share or other amount paid by the Provider, the Funded Trader Entity or any Affiliate to a Customer;
(d) any amount refunded, returned, reversed or charged back, except as §6.6 provides;
(e) any item that is not commissionable under §6.9; or
(f) any transaction excluded by §4.4, §5.2, §12 or §17.5.
6.8 Commission is calculated only on transactions, not on trading results
Commission is calculated exclusively on Commissionable Amounts. You have no entitlement to any share of, or payment measured by, any trading result, simulated profit, reward, payout or revenue of the Provider, the Funded Trader Entity, any Affiliate or any Customer (cf. FTA 11.7, 11.8).
6.9 The Refundable Challenge Deposit is the only commissionable item
Commission is payable only on the Refundable Challenge Deposit. No other product, service, item or payment offered by the Provider, the Funded Trader Entity or any Affiliate is commissionable.
The Commissionable Amount is therefore the Deposit amount actually received and retained, net of the deductions in §6.4 — discounts, transaction taxes, payment-processing and network fees, and any refunded portion.
The Provider may introduce further products in future. A future product becomes commissionable for you only where the Provider's business development team has agreed in writing with you that it is, and the agreement has been recorded in the Partner Area. That agreement is specific to you; it does not make the product commissionable for any other Partner, and the introduction of a product does not by itself create any entitlement.
6.10 Partner Challenge Accounts
The Provider may, at its sole discretion, grant you one or more Challenge accounts as a benefit of participation in the Affiliate Programme (a "Partner Challenge Account"), by written agreement with its business development team recorded in the Partner Area.
(a) A Partner Challenge Account is discretionary and is not an entitlement. Nothing in these Partner Terms obliges the Provider to grant one, to grant a further one, or to grant one of any particular programme, account size or parameters, and no level of performance, volume or Network size creates a right to one.
(b) The Provider may withdraw, decline to renew, suspend or terminate a Partner Challenge Account at any time, and will do so where your participation is suspended or terminated under §17.
(c) A Partner Challenge Account is a Challenge account like any other. Your use of it is governed by the GTC, the Trading Rules and the Policies, and if you reach the Funded Trader Phase, by a Funded Trader Agreement with the Funded Trader Entity. Your rights and obligations in respect of it are those of a Customer, not those of a Partner.
(d) A Partner Challenge Account is granted at no cost. No Refundable Challenge Deposit is placed for it, it generates no Commission for you or for any other Partner (§6.7(b)), and it is not transferable, assignable, saleable, redeemable for cash or exchangeable for Commission.
(e) Misuse of a Partner Challenge Account, misrepresentation in connection with one, or use of one by any person other than you, is a material breach of these Partner Terms and engages §17.3, in addition to any consequence under the GTC.
(f) Profit split and what the account produces. A Partner Challenge Account may be granted with a profit split of between 5% and 80%, as the Provider’s business development team determines when the account is issued and records in the Partner Area. Where you trade such an account successfully, it produces a trading profit certificate, evidencing the simulated trading profit you made on the account. Trading profit certificates are issued to every trader on a funded account, not only to Partners. A trading profit certificate is not a profit-split certificate, is not a record of a payout, and does not evidence any amount paid or payable to you. Where a payout is made on the account, HyroTrader also issues a profit split certificate, which evidences the amount actually paid to you; that is the only certificate that evidences a payout.
(g) What you may say about it. You may show a trading profit certificate and you may talk publicly about trading on a Partner Challenge Account, subject to §10.14. You must not present a trading profit as a payout you received, as a profit split, or as an amount HyroTrader paid you, and you must not mislead your audience about what you were in fact paid. Breach of this §6.10(f) or (g), or of §10.14, entitles the Provider to restrict or close the account immediately and is a material breach of these Partner Terms engaging §17.3.
7. The multi-level structure
7.1 Three levels
The Affiliate Programme has three levels. Where a Qualifying Transaction is attributed under §5 to a Partner, Commission is payable not only to that Partner (Level 1) but also to the Partner directly above that Partner in the Network chain (Level 2) and to the Partner two places above that Partner in the Network chain (Level 3), at the rates set out in Schedule 1. The override rises up the chain: the Level 3 rate is higher than the Level 2 rate, because the more senior Partner supports the Partners below, closes the deals and carries the relationship.
7.2 What the Level 2 and Level 3 rates are calculated on
The Level 2 and Level 3 rates are calculated on the same Commissionable Amount as the Level 1 Commission. They are not a share of, a deduction from, or a percentage of the Level 1 Partner’s Commission.
A Level 2 or Level 3 Commission neither reduces nor increases the Commission payable to the Partner below it. Each level’s Commission is a separate obligation of the Provider, calculated independently on the same Commissionable Amount. A worked example is set out in Schedule 1.
7.3 How the Network is formed
A Partner becomes your Level 2 Sub-Partner where that Partner applied your Partner Referral Code, or was otherwise recorded by the Provider as introduced by you, at the time that Partner’s own application to the Affiliate Programme was approved. That Partner’s own Level 2 Sub-Partners are your Level 3 Sub-Partners. The chain stops there. The Network relationship is fixed at the point the Sub-Partner’s application is approved and does not afterwards change. It is not re-attributed, does not lapse through inactivity, and is not transferable. It ends only when the Sub-Partner’s participation or your own participation ends (§7.6).
7.4 Limits
(a) The structure extends to three levels only. No Commission is payable at Level 4 or beyond.
(b) A Partner may not appear more than once in the same chain, and circular, reciprocal or looped Network structures generate no Commission at any level.
(c) You may not recruit as a Sub-Partner any person who is you, who is a person connected with you within the meaning of §12.2, or who is acting on your behalf or under your control, and no Commission is payable at any level in respect of such a person.
(d) Recruiting Sub-Partners is not itself a commercial activity for which any payment, entry fee, subscription, pack, position or other consideration may be charged to, or required of, any person. The Affiliate Programme is a referral programme for the Provider's own service. You must not present, operate or market it as an income opportunity, a business opportunity, a network-marketing scheme or an investment (§10.7, §10.8).
7.5 The structure may be varied or withdrawn
The Provider may vary the number of levels, the Level 2 and Level 3 rates, the method by which the Network is formed, and any other aspect of the multi-level structure, or may withdraw the multi-level structure entirely, in each case on notice under §20. A variation takes effect only for Qualifying Transactions completed on or after its effective date and does not affect Commission already earned.
7.6 Effect of a Network member leaving
Where a Sub-Partner's participation ends, no further Commission accrues to you in respect of that Sub-Partner's transactions. Where your own participation ends, no further Commission accrues to you in respect of your Network, and your Sub-Partners are not re-attributed to you or to your upline except as the Provider determines acting reasonably.
8. Statements, payment and tax
8.1 Statements
The Provider makes available to you in the Partner Area a running record of Qualifying Transactions attributed to you, the Commissionable Amount and rate applied to each, Commission earned at each level, amounts held under §8.3 pending expiry of a card hold period, amounts reversed under §9, amounts withheld, delayed or set off under §8.7, and your available balance.
8.2 Payment on request
Commission becomes payable when any hold period applicable to the transaction under §8.3 has expired without a Clawback Event; where no hold period applies, it becomes payable as soon as it is earned. Commission that has become payable is shown in the Partner Area as your available balance. You may request payment of your available balance at any time, subject to the minimum in §8.4(a). The Provider will pay a validly requested amount within seven (7) calendar days of the request. In normal circumstances payment is made within 24 to 48 hours of the request. Payment is subject to §8.3, §8.5, §8.7 and §9.
8.3 Hold period — card-funded transactions only
Commission on a Qualifying Transaction paid by card, or by any other reversible payment method the Provider designates as such in the Partner Area, is held and does not become payable until seven (7) calendar days after the date the amount in respect of that transaction was received and cleared by or on behalf of the Provider. Commission on a Qualifying Transaction paid by any other method, including an on-chain payment in USDT or USDC, is not held at all: it becomes payable as soon as the transaction qualifies under §5.2, and you may request payment of it at once under §8.2. The hold sits where the reversal risk is, because a chargeback can arise only on a card payment.
The Provider may also extend a hold, or apply a hold to a transaction that would otherwise carry none, in respect of a particular transaction, Referral Code or Partner, where it is investigating under §16, where a chargeback or payment dispute is open, or where a verification, sanctions or tax matter is unresolved. It will tell you that it has done so and why. A hold period is not the limit of the Provider’s protection: a card chargeback may be raised long after seven days have passed, and Commission that has been paid remains reversible and repayable on a Clawback Event under §9, and subject to withholding and set-off under §8.7.
8.4 Minimum balance, currency and rail
(a) Minimum request — USD 100. A payment request may be made only where your available balance is at least USD 100. A balance below that amount is carried forward until the threshold is met. The minimum does not apply to a final payment under §17.6.
(b) USDT or USDC only. Commission is paid only in USDT or USDC, on a network supported by the Provider at the time of payment. No other payout currency, asset or rail is offered; in particular Commission is not paid in fiat currency and not paid by bank transfer. Amounts stated in USD are a unit of account and are paid in the equivalent amount of USDT or USDC on a one-for-one basis with USD.
(c) Payout details. You must nominate and verify a receiving wallet address and network in the Partner Area and keep it current. The address must be controlled by you and must match your verified identity or, for an entity, the verified entity. Payments to a third party's wallet are not made. The Provider may require a confirmation step, a test transfer, or a cooling-off period of up to seven (7) calendar days following any change of payout details.
(d) Irreversibility. On-chain transfers are irreversible. You bear the entire risk of, and the Provider has no liability for, any loss arising from an incorrect address, an incompatible network, an unsupported asset, a contract address, an exchange deposit address that does not credit the asset, or a wallet you cannot access, where the details were supplied or confirmed by you.
(e) Fees. Network, gas, intermediary and conversion fees are borne by you and may be deducted from the payment. Amounts are stated gross of such fees.
(f) Discharge. Transfer of the Commission amount in USDT or USDC to the address and network last confirmed by you discharges the Provider's payment obligation in full, on broadcast and confirmation on the relevant network, whatever time your own wallet, exchange or custodian takes to credit it.
8.5 Invoicing and documentation
Where the Provider requires it, or where Applicable Law requires it, payment is made against an invoice. The Provider may issue a self-billed invoice on your behalf, and you authorise it to do so, unless you notify the Provider before it does so that you will issue your own. You must provide, and keep current, the information required for a valid invoice and for the Provider's tax and accounting records. Payment may be withheld until you have done so.
8.6 Disputing a statement
If you consider a statement, an attribution or a calculation to be wrong, you must notify the Provider at [email protected] within thirty (30) calendar days of the statement being made available to you in the Partner Area, identifying the transaction and the basis of the dispute. The Provider will review it and explain the basis of its determination. A statement not disputed within that period is treated as accepted, save in the case of manifest error or fraud.
8.7 Withholding and set-off
The Provider may withhold, delay or set off payment of Commission:
(a) pending completion of verification, sanctions screening or tax certification under §2.4;
(b) pending an investigation under §16 or the resolution of a suspected breach;
(c) where your payout details do not match your verified identity;
(d) against any amount you owe the Provider or any Affiliate under these Partner Terms, including under §9 and §19; and
(e) where required by Applicable Law, by a payment scheme, by a sanctions measure or by an order of a court or authority.
8.8 Tax
You are solely responsible for determining, declaring and paying all taxes, levies, duties, social-security and social-insurance contributions and filing obligations arising anywhere in respect of any Commission, and for any registration required in your own jurisdiction. Neither the Provider nor any Affiliate is liable for those obligations.
All Commission amounts are stated gross of, and inclusive of, all such taxes and contributions. There is no entitlement to any gross-up, uplift or reimbursement. The Provider may deduct or withhold any amount it is required by Applicable Law to deduct or withhold, and payment of the net amount discharges the obligation in full to the extent withheld.
Neither the Provider nor any Affiliate provides tax advice. You should take independent advice.
8.9 No interest
No interest accrues on Commission, on a balance held under §8.3 or §8.4(a), or on any amount withheld under §8.7.
8.10 Dormant balances No fee, charge or deduction is applied to a balance by reason of its remaining unpaid or unclaimed. Where your balance cannot be paid because you have not supplied or verified payout details, or have not supplied information required under §2.4 or §8.5, the Provider will hold the balance and will contact you at your registered email address. Where the balance remains unpayable for that reason for twenty-four (24) months after the Provider's first request, the Provider may treat the balance as abandoned, to the extent Applicable Law permits.
9. Reversal, clawback and repayment
9.1 Clawback Events
Commission attributable to a transaction is reversed, and if already paid becomes repayable, where any of the following occurs ("Clawback Event"):
(a) the amount received in respect of the transaction is returned, refunded or reversed in whole or in part, including on a cancellation before Activation under GTC §8.1, on the exercise of a statutory right of withdrawal under GTC §8.2, or on rejection of an amendment under GTC §19.4 — but excluding a return of a Deposit falling within §6.6;
(b) a chargeback, payment reversal, dispute or clawback is initiated with a card issuer, payment provider or payment scheme in respect of the transaction, whether or not it is ultimately upheld;
(c) the Customer's Account or Challenge is closed, terminated or forfeited by the Provider for a material breach of the GTC, for a Prohibited Trading Practice, for failure to complete KYC, for a deliberate provision of false identity information, for fraud, or on sanctions grounds (GTC §20.2);
(d) the transaction is determined under §5, §12 or §16 to be a self-referral, a prohibited transaction, fraudulent, artificial, incentivised in breach of §10.5, or otherwise non-genuine;
(e) the Referral Code applied was not valid under §4.4; or
(f) the Commission was calculated or paid in error, including by reason of a system, attribution or arithmetic fault.
9.2 Effect
On a Clawback Event the Commission concerned is reversed at every level of the Network, including the Level 2 and Level 3 Commission calculated on the same Commissionable Amount. Where a return is partial, the reversal is proportionate.
9.3 Recovery
A reversed amount is deducted from your balance and, where the balance is insufficient, from Commission that becomes payable to you afterwards. Where the amount is not recovered in that way within ninety (90) calendar days, or where your participation has ended, it is a debt immediately due and repayable by you to the Provider on demand.
9.4 Chargeback costs
Where a chargeback relates to a transaction on which you were paid Commission, the Provider may in addition recover from you the chargeback fees charged by the payment processor and the reasonable administrative costs it incurs, in accordance with GTC §9.3(c).
9.5 Set-off across your Accounts
Where you also hold an Account as a Customer, the Provider may set off an amount owed by you under this §9 against any amount payable to you as a Partner, and may set off an amount owed by you as a Customer against Commission payable to you. Nothing in this §9.5 permits set-off against a Refundable Challenge Deposit that falls to be returned to you as a Customer under GTC §8, which is a debt payable in full (GTC §21.1).
9.6 No reversal after two years The Provider will not reverse Commission more than twenty-four (24) months after it was paid, except where the Clawback Event is a chargeback or payment reversal initiated within that period, or where the Commission was obtained by your fraud, dishonesty or breach of §12, in which case no time limit applies.
10. How you may promote — Partner undertakings
10.1 General standard
You must promote the Service honestly, lawfully and in a manner that does not damage the reputation of the Provider, of the Platform IP Owner or of any Affiliate. You must comply with Applicable Law, with the advertising standards and consumer-protection rules of every jurisdiction in which you promote, with the terms and policies of every platform and advertising network you use, and with these Partner Terms.
You are solely responsible for your promotional activity, for its content, for its targeting, and for its compliance. The Provider's approval of a channel, material or campaign does not transfer that responsibility to the Provider.
10.2 Prohibited content and channels
You must not promote the Service on, through or alongside content that:
(a) is unlawful, or infringes any third party's rights;
(b) is xenophobic, racist, hateful, pornographic, violent, cruel, abusive, harassing or otherwise harmful;
(c) is directed at, or is likely to appeal particularly to, persons under 18;
(d) promotes or is placed alongside services of a direct or indirect competitor of the Provider in a way that creates confusion as to the source of the Service;
(e) promotes gambling, lotteries, prize draws or games of chance in a way that associates the Service with them;
(f) contains malware, deceptive code, or automated redirection; or
(g) would breach §11.
10.3 Traffic quality and prohibited techniques
You must not use, and must not permit any person acting for you to use:
(a) automatic redirection, forced clicks, pop-ups, pop-unders, auto-hit systems, iframes or any similar technique intended to generate traffic or code applications artificially;
(b) cookie stuffing, background cookie placement, or any placement of a tracking signal without a genuine user interaction;
(c) bots, click farms, automated scripts, emulators, proxies or virtual private networks to simulate genuine user activity;
(d) typosquatting, domain parking, malware, adware, browser extensions, toolbars or injected content;
(e) any method of intercepting, diverting or overwriting a tracking signal, a Referral Code or a checkout field, whether the signal belongs to you, to another Partner or to the Provider's own marketing; or
(f) any technique designed to have a Referral Code applied without the Customer's knowledge or genuine choice.
10.4 Spam and unsolicited messaging
You must not promote the Service by unsolicited communication. In particular you must not:
(a) send unsolicited commercial email, SMS, direct message, in-app message, push notification, automated call or messaging-platform broadcast, to any person who has not given a valid, informed and recorded consent to receive it, where consent is required by Applicable Law;
(b) post promotional content, links or Referral Codes into forums, comment sections, communities, groups, chats, reviews or threads in breach of the rules of that place or where such posting is unsolicited or off-topic;
(c) mass-message, cold-DM, or scrape contact details for the purpose of promoting the Service;
(d) use a purchased, rented, scraped or otherwise unverified contact list; or
(e) send any communication that omits a clear identification of you as the sender, a valid means of contacting you, or a functioning unsubscribe mechanism where Applicable Law requires one.
You must honour every opt-out, unsubscribe and objection request you receive, promptly and permanently.
10.5 Fake, artificial and incentivised sign-ups
You must not create, procure, induce or reward a registration, application, code use or transaction that is not a genuine, independent decision by a real prospective Customer. In particular you must not:
(a) create, control or use an Account that is not genuinely yours, or arrange for another person to do so;
(b) register, or procure the registration of, fictitious, duplicated or impersonated identities;
(c) pay, promise or provide money, cryptocurrency, goods, services, prizes, entries, credits or any other benefit to a person in exchange for registering, applying a Referral Code, or entering into a transaction, except as §10.6 permits; or
(d) coordinate with any other person to generate Commission through activity that is not genuine demand.
10.6 Cashback, rebates and commission-sharing — permitted only with prior written approval
A cashback or rebate arrangement is permitted where, and only where, it has been approved in advance under this §10.6. You must not describe your Referral Code as giving a benefit that it does not give under its Code Terms, and you must not represent that you will make good, in whole or in part, any amount a Customer pays the Provider otherwise than under an approved arrangement.
Unless the arrangement has been approved in advance under this §10.6, you must not offer, advertise, promise or provide to any Customer or prospective Customer any cashback, rebate, refund, discount, credit, bonus, free challenge, reimbursement of a Deposit, or any share of your Commission, in connection with their use of your Referral Code or their entry into a transaction with the Provider. What counts is the economic effect, not the label. This covers a payment in fiat currency; a transfer of cryptocurrency, stablecoins or any other digital asset; a voucher, gift card, credit, token, points balance or store credit; goods or services provided free or at a discount; paying, funding or reimbursing any part of a Customer’s Refundable Challenge Deposit, whether before, at or after checkout, whether directly to the Provider or to the Customer; and any arrangement having the same economic effect, however it is described, structured, timed or routed, and whether or not it is presented as a gift, a bonus, a prize, a giveaway, a competition, a mentorship benefit, a community perk or a subscription benefit.
This §10.6 does not prevent you from telling a Customer, accurately, about a discount that your Referral Code in fact carries under its Code Terms, or about a promotion the Provider itself is running.
Prior written approval. An arrangement is approved only where all three of the following are satisfied: (i) the Provider’s business development team has given its prior written approval to that specific, described arrangement; (ii) the approval has been recorded in the Partner Area; and (iii) you have disclosed the model — what is given back, to whom, when, and on what condition — to the Customers concerned before the arrangement starts. An approval is specific to the arrangement described, is not an approval of any variation of it, may be made subject to conditions, may be time-limited, and may be withdrawn on notice. Operating, advertising or continuing an unapproved arrangement, or one that differs from the arrangement approved, is a material breach of these Partner Terms, and every transaction generated by it is a prohibited transaction under §12.
10.7 Misleading income, performance and outcome claims
You must not make, publish, endorse, or allow to appear on your channels, any statement that:
(a) guarantees, promises or implies a profit, a return, an income, a payout, a funded account, a success rate, or a particular trading outcome, to a Customer or to a Partner, including "guaranteed profit", "guaranteed payout", "guaranteed funding", "risk-free", "passive income" or any equivalent;
(b) presents participation in the Challenge Program as an investment, a savings product, a deposit-taking arrangement, a yield product, or a way to obtain real trading capital;
(c) presents Commission under the Affiliate Programme as guaranteed, assured, passive, recurring, lifetime or residual income, or projects an income figure;
(d) states or implies that a Customer trades real capital, that orders are executed on a live market, or that a Customer's simulated results are real trading results;
(e) misstates the Provider's rules, objectives, drawdown limits, profit targets, profit splits, fees, payout terms, refund terms or timescales; or
(f) presents a past result, testimonial or payout as typical, or presents any result without making clear that all trading under the Service is simulated.
Where you publish figures derived from a simulated account, you must identify them as simulated results and apply the disclosure required by GTC §3.8.
10.8 No financial advice and no regulated-activity claims
You must not:
(a) provide, or hold yourself out as providing, investment advice, personal recommendations, portfolio management, signals, trade calls, brokerage or any regulated financial service, in connection with the Service or the Provider;
(b) state or imply that the Provider or any Affiliate is regulated, licensed, authorised or supervised as a financial institution, broker, exchange, investment firm or adviser, or that it provides any regulated service (GTC §3.1);
(c) associate the Service with regulated activities, investment services or investment advice; or
(d) offer or provide account-management services in respect of any Customer's account, or promote any person who does.
10.9 Disclosure of the affiliate relationship
Every communication in which you promote the Service must make clear, prominently and in plain language, that you are a HyroTrader affiliate and that you may receive Commission if the reader uses your Referral Code or Tracked Link. The disclosure must be visible without the reader having to click, expand, scroll past the promotional content, or read a linked page. It must appear in the same language as the promotional content, and must comply with the disclosure rules of the jurisdiction in which you promote and of the platform on which you publish.
You must not present promotional content as independent, impartial, editorial or user-generated when it is not.
10.10 Paid advertising — prior notice
You must give the Provider at least fourteen (14) calendar days' prior notice of any planned use of paid advertising in connection with the Affiliate Programme, including search, social, display, video, native, influencer and sponsored placements. The notice must state the network, the placement, the intended duration, the targeting and the keywords. The Provider may request further information, may refuse the campaign, and may require it to be stopped at any time.
Failure to give notice, or giving false or incomplete information, entitles the Provider to withhold Commission on traffic from the campaign and to act under §17. This §10.10 is in addition to, and does not limit, §11.
10.11 No impersonation of the Provider
You must not send any communication on behalf of the Provider, act as if you represent the Provider, or create the impression that you are the Provider, its staff, its support function, its official channel or its agent. §11.4 applies.
10.12 Conflicts of interest
You must notify the Provider promptly of any actual or potential conflict of interest, including any relationship with a competitor of the Provider, any interest in an account-management or copy-trading service, and any arrangement under which you are paid by a third party in connection with your promotion of the Service.
10.13 Your own compliance with the GTC
Where you also use the Service as a Customer, you must comply with the GTC, the Trading Rules and the Policies. A material breach of the GTC by you is also a breach of these Partner Terms.
10.14 Talking about your own funded account
Where you hold a Partner Challenge Account under §6.10, or any other Challenge account, you may show the trading profit certificate it produces and you may talk about trading on it. You must not present what you made on it as a payout, as a profit split, or as money HyroTrader paid you, and you must not leave your audience with that impression. A trading profit is what the account made; a payout is what was actually paid to you. They are different things and must be described differently.
Wrong, and a breach of this §10.14: “I received a $5k payout from HyroTrader”; “I made a $5k payout today”; “HyroTrader paid me $5,000”; or posting a trading profit certificate captioned as a payout or as a profit split.
Right: “I made $5,000 trading profit on my funded account”; “my funded account is up $5,000 in simulated trading profit”. Where you state a figure you must also comply with §10.7 (no misleading performance or income claims), with the simulated-results disclosure required by GTC §3.8, and with the affiliate disclosure in §10.9.
Breach of this §10.14 entitles the Provider to restrict or close the account concerned immediately, and is a material breach of these Partner Terms engaging §17.3.
11. Brand protection
This §11 is a core commercial term. Breach of any part of it is a material breach of these Partner Terms and engages §11.5 and §17.3. Schedule 2 sets out worked detail and examples; Schedule 2 forms part of these Partner Terms.
11.1 No paid advertising on Brand Terms
You must not bid on, purchase, target, or cause to be served an advertisement on, any Brand Term, in any advertising or ranking system operated by any search engine, marketplace, app store, social network, video platform, AI assistant, browser or advertising network.
This prohibition covers, without limitation:
(a) "hyrotrader", "hyro", "hyro trader" and every misspelling, spacing variant, transliteration and close variant;
(b) any Brand Term combined with any modifier, including "discount", "coupon", "coupon code", "promo", "promo code", "voucher", "deal", "offer", "sale", "cashback", "rebate", "review", "reviews", "legit", "scam", "login", "sign up", "alternative", "vs", "refund", "payout" and any equivalent in any language;
(c) any Brand Term used as a broad-match, phrase-match, exact-match, negative-exclusion-avoidance, dynamic-search, automated, performance-maximising, audience-signal or AI-generated keyword or targeting input; and
(d) any advertisement whose headline, display path, display URL, description, sitelink, creative, asset or landing page contains or suggests a Brand Term.
You must add every Brand Term as a negative keyword on every campaign you run in connection with the Affiliate Programme, including campaigns using automated or AI-driven keyword selection, and you are responsible for the keywords such systems select on your behalf.
11.2 No coupon, discount or deal aggregators
You must not submit, list, publish, syndicate, sell, licence or otherwise make available any Referral Code, discount code or offer relating to the Provider on, or to, any coupon, discount, voucher, deal, cashback, rebate, promo-code, browser-extension or similar site, application, extension, feed or service, whether or not you operate it and whether or not you are paid for it.
You must not permit or acquiesce in a third party doing so with a code issued to you, and you must take reasonable steps to have any such listing removed on becoming aware of it.
Where a Referral Code issued to you appears on any such site, application, extension, feed or service, the Provider may immediately and without notice disable that code and withhold and reverse all Commission attributable to traffic or transactions arising from or through it, under §11.5.
11.3 No content built to rank on brand-discount intent, in search or in AI assistants
You must not create, publish, commission, syndicate or maintain any page, post, video, listing, feed, dataset, structured data, schema markup, FAQ markup, review markup, sitemap entry, knowledge-base entry, repository, prompt-injection content, or any other content or signal, whose purpose or foreseeable effect is to rank in, or to be surfaced by, a search engine, an answer engine, a generative AI assistant (including ChatGPT and equivalent systems), a browser assistant or a recommendation system, in response to a query combining a Brand Term with a discount, coupon, promo, voucher, deal, cashback or rebate intent.
This applies whether the content is optimised for organic search, for structured-data extraction, for retrieval by an AI system, or by any other means, and whether or not it contains a Referral Code. What this §11.3 catches is content built around discount, coupon, promo, voucher, deal, cashback or rebate intent on a Brand Term — in its title, its headings, its URL, its structured data, its keywords or its evident purpose. What it does not catch is content built around the Service itself: what it is, how it works, whether it is any good, and how it compares with other firms.
Permitted — genuine reviews and comparisons. You may write, publish and maintain honest editorial content about the Service, including a page, video or post titled “HyroTrader review”, a comparison of crypto prop firms, or a tutorial, and you may include an official Referral Code issued to you within it. Content of that kind is not a breach of this §11, provided it is a genuine review or comparison, it is not built or optimised around brand-plus-discount intent, it carries the disclosure required by §10.9, it complies with §10.7 and §10.8, and it does not breach §11.1 (no paid advertising on Brand Terms) or §11.4 (no brand-confusing identifiers). A critical or negative review is equally permitted (§14.3). This permission does not extend to a listing on a coupon, discount, voucher or cashback service, which remains prohibited by §11.2 however the listing describes itself.
11.4 No brand-confusing identifiers or impersonation
You must not register, acquire, hold, use or apply for:
(a) any domain name or subdomain containing a Brand Term, or a misspelling or close variant of one;
(b) any application name, extension name, bot name, repository name, page name, group name, channel name, handle, username or display name on any platform containing a Brand Term, or a misspelling or close variant of one;
(c) any trademark, business name or company name containing a Brand Term; or
(d) any email address, sender name or messaging identity that suggests it is operated by the Provider.
You must not hold yourself out as HyroTrader support, staff, an employee, an agent, a representative, an official partner in a sense other than as described in these Partner Terms, or an official channel, and must not operate any account, group or channel that a reasonable person would take to be operated by the Provider.
On request or on termination you must transfer to the Provider, or cancel, any identifier registered in breach of this §11.4, at your own cost.
11.5 Immediate right to disable and withhold — no proof of intent required
Where a Referral Code, a listing, an advertisement, a domain, an identifier, a page or any other content appears to the Provider to breach this §11, the Provider may, immediately and without prior notice:
(a) disable, withdraw or re-scope the Referral Code concerned;
(b) suspend your access to the Partner Area;
(c) withhold, and reverse, all Commission attributable to the code, listing, advertisement, identifier, page or content concerned, and to traffic or transactions arising from or through it; and
(d) require you to remove or take down the content concerned within a period the Provider specifies.
The Provider is not required to establish that you intended the breach, that you authorised it, that you placed the content yourself, or that the Provider has suffered loss. It is sufficient that the code, listing, advertisement, identifier, page or content appears on its face to breach this §11 and to trade on, or to be positioned against, the HyroTrader brand.
You may make representations to the Provider under §11.6. Exercise of a right under this §11.5 is not a breach of these Partner Terms by the Provider and gives rise to no claim.
11.6 Representations and reinstatement
Within fourteen (14) calendar days of an action under §11.5 you may make written representations to the Provider at [email protected], including evidence that the content was not yours, was not authorised by you, or has been removed. The Provider will consider them acting reasonably and in good faith and will tell you its conclusion.
Where the Provider is satisfied that no breach occurred, it will reinstate the Referral Code or issue a replacement and will release Commission withheld under §11.5(c). Where it is satisfied that a breach occurred but that you neither caused nor permitted it and you have had the content removed, it will reinstate prospectively and will release Commission attributable to the affected traffic. The Provider is not obliged to reinstate any particular code (§4.6).
11.7 Responsibility for third parties
You are responsible under this §11 for the acts and omissions of every person you engage, pay, instruct, incentivise or permit to promote the Service on your behalf, including agencies, media buyers, sub-affiliates who are not Partners, freelancers, employees and automated systems, as if they were your own.
12. Self-referral and prohibited transactions
12.1 No self-referral
You are not entitled to Commission on any transaction entered into by you, and you must not, directly or indirectly, apply your own Referral Code to your own transaction, refer yourself using a Referral Code, a Tracked Link or any other mechanism, or arrange for any person to do so on your behalf.
12.2 Connected persons
You are not entitled to Commission on a transaction entered into by a person connected with you, being your spouse, partner, parent, child, sibling or any other member of your household, any person with whom you share a payment method, wallet, device, network or address, any entity you control or in which you hold a material interest, and any person acting on your instructions or under your control in relation to the transaction. The Provider may waive this §12.2 in a particular case by prior written agreement recorded in the Partner Area. Absent a waiver, a transaction by a connected person is a prohibited transaction.
12.3 No multiple or coordinated accounts
You must not create, use or control multiple Partner participations or Accounts, and must not coordinate with any other person or entity, for the purpose of generating Commission through self-purchases, circular referrals, artificial activity or the circumvention of any provision of these Partner Terms.
12.4 Consequences
A transaction identified by the Provider as a self-referral, as a transaction by a connected person, as fraudulent, artificial or non-genuine, or as otherwise in breach of this §12, is not a Qualifying Transaction. The Provider may, at its discretion:
(a) withhold or cancel any Commission generated in breach of this §12, at every level of the Network;
(b) reverse and recover any Commission already paid, under §9;
(c) disable the Referral Codes concerned;
(d) terminate your participation without notice under §17.3 and forfeit unpaid Commission under §17.5; and
(e) act under GTC §10.3 and §20.2 in respect of any Account you hold as a Customer.
13. Licence to use the brand assets
13.1 Grant
The Provider grants you, for so long as you are a Partner in good standing, a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free licence to:
(a) link to the Website through Tracked Links issued to you; and
(b) use, solely in connection with those links and solely for the purpose of promoting the Service under these Partner Terms, the logos, trade names, trademarks, banners, images, screenshots and other identifying material that the Provider makes available to you in the Partner Area or otherwise expressly authorises in writing (together, the "Licensed Materials").
13.2 Scope and limits
You may use the Licensed Materials only in the form supplied, without alteration to the mark, logo, colour, proportion or wording, and only in the contexts the Provider permits. You must observe any brand guidelines the Provider publishes in the Partner Area. Any use that breaches these Partner Terms, or that is not in accordance with the Provider's interests, is unauthorised use.
You acquire no right, title or interest in the Licensed Materials or in any other Platform IP. All use of the Licensed Materials is on behalf of the Provider and the Platform IP Owner, and all goodwill arising from it enures to their sole benefit. Nothing in this §13 grants you any right under §11.4.
13.3 Mutual restraint
Neither Party will use the other's proprietary materials in a manner that is disparaging, misleading or obscene, or that otherwise portrays the other in a negative light. Each Party reserves all rights in its own proprietary materials, and no right, title or interest is transferred other than the licence expressly granted.
13.4 Revocation and take-down
The Provider may revoke the licence in §13.1, in whole or in part, at any time, immediately and without notice, including where §11.5 applies or where your participation is suspended or terminated.
On revocation, on suspension and on termination you must immediately cease all use of the Licensed Materials, remove every Tracked Link, banner, Referral Code and item of Licensed Material from every channel you operate or control, delete all copies in your possession, prevent any further use, and confirm in writing that you have done so if the Provider asks.
14. Confidentiality
14.1 Obligation
You must keep confidential, and must not use other than for the purposes of these Partner Terms, all non-public information about the Provider, the Platform IP Owner, the Funded Trader Entity and any other Affiliate that you learn in connection with the Affiliate Programme, including the commercial terms applicable to you and the fact of any bespoke term, your Base Rate and any increased rate, Code Terms not published to Customers, unlaunched products and campaigns, Customer data, statistics and conversion data made available to you, the Platform's technology and architecture, pricing and commercial structures, staff communications, and anything a reasonable person would understand to be confidential (the "Confidential Information").
14.2 Exceptions
The obligation does not apply to information that (a) is or becomes publicly available otherwise than through a breach of a legal or contractual obligation, or (b) you are required to disclose by Applicable Law or by a binding order of a court, arbitral tribunal or competent authority, provided you give the Provider prior notice where lawful to do so.
14.3 Not a restriction on criticism
Nothing in this §14 prevents you from expressing opinions about the Service, from publishing factual criticism or a negative review, or from disclosing the existence of a dispute. You must not make materially false or misleading statements of fact about the Provider, the Platform IP Owner, the Funded Trader Entity or any other Affiliate (cf. GTC §17). Neither Party will make materially false or misleading statements of fact about the other.
14.4 Duration
This §14 continues without limit of time after your participation ends.
15. Data protection
15.1 Your own marketing data — you are an independent controller
In respect of personal data you collect, hold and process for your own marketing purposes — including your audience, subscriber, follower and contact lists, your analytics, and any personal data you obtain before a person reaches the Website — you act as an independent controller in your own right. The Provider is not a controller, joint controller or processor of that data, does not determine the purposes or means of your processing, and gives you no instructions in respect of it.
You are solely responsible for your own compliance, including for having a valid lawful basis for your processing and for your marketing communications, for consent where required, for transparency and privacy information, for responding to data-subject requests, for security, for international transfers, for records of processing, and for any registration or notification your own law requires.
15.2 The Provider's processing
The Provider is the controller of personal data it processes in connection with the Affiliate Programme, including your own identity, contact, verification, tax and payment data, and the transaction and attribution data recorded on the Platform. It processes that data in accordance with the Privacy Policy published on the Website, which applies to it.
15.3 Data shared between the Parties
Where the Provider makes data available to you in the Partner Area, it does so as an independent controller disclosing to another independent controller for the limited purpose of operating and verifying the Affiliate Programme. You may use that data only for that purpose. You must not use it to market any other product or service, must not enrich, combine, resell or disclose it, and must delete it when your participation ends, save to the extent Applicable Law requires you to keep it.
You must not attempt to identify, contact, solicit or re-target an individual Customer from data made available to you in the Partner Area.
15.4 Notification
Each Party must notify the other without undue delay of any personal data breach affecting personal data disclosed by the other under these Partner Terms, and must give the other the cooperation it reasonably requires to meet its own obligations to regulators and data subjects.
15.5 Indemnity
You indemnify the Provider and the other Affiliates in accordance with §19 against any claim, fine, penalty or loss arising from your processing of personal data, from your marketing communications, or from your breach of this §15.
16. Records, audit and investigation
16.1 Records
You must keep complete and accurate records of your promotional activity in connection with the Affiliate Programme, including the channels used, the advertising campaigns run and their keywords and targeting, the consents on which you rely for marketing communications, the content published, and any person you engaged to promote on your behalf. You must keep them for twenty-four (24) months after the activity, and for longer where Applicable Law or an outstanding dispute requires.
16.2 Information and audit
The Provider may, on reasonable notice and no more than twice in any twelve-month period unless it reasonably suspects a breach, require you to provide information, records, screenshots, advertising-account reports, keyword and placement reports, and access to analytics, to verify your compliance with these Partner Terms. You must respond within fourteen (14) calendar days, or sooner where the Provider reasonably suspects an ongoing breach of §11 or §12.
16.3 Investigation
The Provider may investigate any transaction, Referral Code, campaign, channel or Partner where it suspects a breach. During an investigation it may suspend your Referral Codes, suspend your access to the Partner Area, and withhold Commission under §8.7(b). It will tell you that an investigation is under way and, so far as it reasonably can without prejudicing the investigation, its subject.
16.4 Costs
Where an audit or investigation establishes a material breach by you, or an under-deduction or over-payment of Commission exceeding five per cent (5%) of the amount properly payable in the period examined, you must reimburse the Provider's reasonable costs of the audit or investigation.
16.5 Cooperation
You must cooperate reasonably with an audit or investigation, must not conceal, alter or destroy relevant records, and must procure the same cooperation from any person you engaged to promote on your behalf.
17. Suspension and termination
17.1 Term
These Partner Terms take effect under §3.3 and continue for an indefinite period until terminated under this §17.
17.2 Termination for convenience
Either Party may terminate for any reason on thirty (30) calendar days' written notice. On a termination for convenience, Commission earned on Qualifying Transactions completed before the termination date remains payable in accordance with §8, subject to §9 and §8.7.
17.3 Termination by the Provider for cause — immediate
The Provider may terminate immediately by notice, and without any payment other than as §17.5 provides, where you:
(a) breach §11 (brand protection) or §12 (self-referral and prohibited transactions);
(b) breach §10.3 (traffic quality), §10.4 (spam), §10.5 (fake or incentivised sign-ups), §10.6 (unapproved cashback or rebates), §10.7 (misleading claims), §10.8 (financial advice), §10.9 (disclosure), §10.11 (impersonation) or §10.14 (how you describe your own funded account);
(c) breach §4.2 (use of unissued codes or links), §13 (licence) or §14 (confidentiality);
(d) become ineligible under §2, become subject to sanctions, or are found to be in or acting for a person in a Prohibited Jurisdiction;
(e) commit fraud, dishonesty or wilful misconduct, or make an untrue statement under §2.4;
(f) fail to respond to a request under §16.2 or fail to cooperate under §16.5;
(g) become bankrupt, insolvent or subject to an equivalent process;
(h) assign or purport to assign your rights or obligations in breach of §22.2;
(i) commit any other material breach that is not remedied within seven (7) calendar days of notice requiring remedy; or
(j) commit any breach of these Partner Terms for the second or any subsequent time, whether or not of the same provision.
17.4 Suspension
Instead of, or before, terminating, the Provider may suspend your participation, your Referral Codes, your Tracked Links, your access to the Partner Area and the payment of Commission, on any ground in §17.3, during an investigation under §16.3, or where §11.5 applies. Suspension does not end these Partner Terms and does not limit any other right.
17.5 Forfeiture of unpaid Commission
Where the Provider terminates under §17.3(a), (b) or (e) — that is, for breach of the brand-protection or prohibited-transaction provisions, for breach of the marketing-conduct provisions listed in §17.3(b), or for fraud, dishonesty or wilful misconduct — all Commission that has not been paid to you at the termination date is forfeited, at every level of the Network, and the Provider may in addition reverse and recover Commission already paid on affected transactions under §9.
Forfeiture under this §17.5 extends only to Commission attributable to the period in which, or the activity through which, the breach occurred, unless the breach was fraudulent or dishonest, in which case it extends to all unpaid Commission.
Where the Provider terminates under any other paragraph of §17.3, unpaid Commission earned on Qualifying Transactions completed before the termination date remains payable under §8, subject to §9 and §8.7.
17.6 Final payment
Where Commission remains payable on termination, it is paid on request under §8.2, following expiry of any hold period applicable under §8.3 and resolution of any outstanding investigation, chargeback, verification or tax matter. The minimum in §8.4(a) does not apply to a final payment.
17.7 Consequences of termination
On termination:
(a) your right to participate, and to use any Referral Code, Tracked Link or Licensed Material, ends immediately;
(b) all Referral Codes and Tracked Links issued to you are disabled, and transactions afterwards attempted on them are not Qualifying Transactions;
(c) you must comply with §13.4 (take-down) immediately;
(d) no further Commission accrues to you, including in respect of your Network (§7.6);
(d1) any Partner Challenge Account granted to you under §6.10 is withdrawn, save that where you have already reached the Funded Trader Phase on it, any Funded Trader Agreement you have executed is a separate contract with the Funded Trader Entity and is governed by its own terms;
(e) you must delete or return Confidential Information and Partner Area data under §14 and §15.3, and confirm deletion in writing on request; and
(f) you have no further rights in respect of the Affiliate Programme.
17.8 Survival
The following survive termination: §1 (definitions), §6.5, §6.6, §6.9, §8.6 to §8.9, §9 (reversal and recovery), §10.7 (in respect of material already published), §11.4 (identifiers), §13.2 and §13.4, §14 (confidentiality), §15 (data protection), §16.1 (records), §17.5 to §17.8, §18 (liability), §19 (indemnity), §21 (governing law), §22 (general), and any provision that by its nature is intended to survive.
18. Limitation of liability
18.1 Nature of what is provided to you
THE PARTNER AREA, THE REFERRAL CODES, THE TRACKED LINKS, THE LICENSED MATERIALS, THE ATTRIBUTION AND TRACKING SYSTEMS, THE STATISTICS AND ALL OTHER MATERIAL MADE AVAILABLE TO YOU UNDER THESE PARTNER TERMS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROVIDER DISCLAIMS ALL STATUTORY, CONTRACTUAL, EXPRESS AND IMPLIED WARRANTIES OF ANY KIND, INCLUDING ANY WARRANTY OF QUALITY, ACCURACY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
18.2 Excluded losses
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER THE PROVIDER NOR ANY AFFILIATE IS LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSION, LOST REVENUE, LOST OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF AUDIENCE, ADVERTISING SPEND, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE PARTNER TERMS OR THE AFFILIATE PROGRAMME, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTY OR OTHERWISE.
18.3 No cap on liability
There is no cap on the total liability of the Provider or of the Affiliates arising out of or relating to these Partner Terms or the Affiliate Programme. The exclusion of indirect, incidental, special, consequential, exemplary and punitive loss in §18.2 continues to apply, as does §18.4.
The Provider’s obligation to pay Commission that has been validly earned and has become payable under §8 is a debt owed to you and is payable in full.
Your own liability is not capped. Nothing in this §18 limits your liability to the Provider or to any Affiliate, and the indemnity in §19 is unlimited in amount. You are liable in full for loss caused by your promotional activity, including loss caused by damage to the HyroTrader brand, by fraudulent promotion, and by misleading, unsubstantiated or non-compliant claims about the Provider, the Service or the Affiliate Programme — whether the promotion or the claims were made by you or by a person you engaged, paid, instructed, incentivised or permitted to promote on your behalf (§11.7, §19.1).
18.4 Unexcludable liability
Nothing in these Partner Terms excludes or limits liability for fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
18.5 Changes to the Affiliate Programme
The Provider may modify, change, replace, add to or remove any element or function of the Affiliate Programme, the Partner Area, any Referral Code, any Tracked Link and any Licensed Material, in accordance with §4.5, §7.5, §11.5 and §20, without compensation.
18.6 Force majeure
The Provider is not liable for a failure or delay in performing its obligations caused by an event beyond its reasonable control, including a serious technical or operational failure, the act or omission of a payment provider, exchange, hosting provider or other third party, a blockchain network failure, a natural disaster, war, insurrection, pandemic, civil emergency, or an obligation imposed by Applicable Law or by a decision of a public authority. This §18.6 does not excuse non-payment of Commission that has become payable, beyond the period of the event.
19. Indemnity
19.1 Indemnity
You indemnify and hold harmless the Provider, the Platform IP Owner, the Funded Trader Entity, the EEA Commercial Agent, each other Affiliate, and their respective directors, officers, employees, contractors, service providers and agents (together, the "Indemnified Persons") against all claims, demands, actions, proceedings, liabilities, losses, damages, fines, penalties, costs and expenses (including reasonable legal and professional fees and the costs of defending an allegation, whether or not it is upheld) arising out of or in connection with:
(a) any breach by you of these Partner Terms, of the GTC where applicable to you, or of Applicable Law;
(b) your promotional activity, its content, its targeting and its compliance, including any claim of misleading advertising, unlawful marketing communication, defamation, or infringement of a third party's intellectual property or other rights;
(c) any untrue, inaccurate, incomplete or misleading statement, information or document you provide, including as to identity, residence, nationality, location, ownership or tax residence;
(d) your processing of personal data or your breach of §15;
(e) any act or omission of a person you engaged, paid, instructed, incentivised or permitted to promote on your behalf (§11.7);
(f) any breach of §11, including any claim, complaint, account suspension, penalty or loss arising from an advertising network, platform, marketplace or trademark proceeding; and
(g) any fraud, dishonesty, wilful misconduct or negligence on your part.
19.2 Carve-out
This indemnity does not extend to loss caused by the wilful misconduct or gross negligence of the Indemnified Person concerned.
19.3 Conduct of claims
The Provider may assume sole conduct of the defence and settlement of any indemnified claim. You must cooperate reasonably and must not settle any such claim without the Provider's prior written consent.
20. Changes to these Partner Terms
20.1 Right to amend
The Provider may amend these Partner Terms, including Schedule 1 and Schedule 2, by publishing an updated version in the Partner Area and on the Website and notifying you at your registered email address, in each case stating the change and its effective date.
20.2 Notice period
A change that is adverse to you takes effect no earlier than thirty (30) calendar days after notice. A change that is not adverse to you, or that is required by Applicable Law, by a regulator, by a payment scheme, by a sanctions measure or by a third-party provider, or that is reasonably necessary to prevent fraud, abuse or material harm, may take effect on seven (7) calendar days' notice or, where the ground requires it, immediately.
Nothing in this §20 limits §2.2 (sanctions lists), §4.5(b) or §11.5, each of which operates immediately.
20.3 Right to reject and terminate
If you do not accept a change that is adverse to you, you may reject it by notice to [email protected] before its effective date, in which case these Partner Terms terminate on that date as a termination for convenience under §17.2. Commission earned on Qualifying Transactions completed before the effective date remains payable at the rates in force when it was earned, subject to §9 and §8.7.
20.4 Continued participation is acceptance
If you do not reject a change under §20.3, your continued participation in the Affiliate Programme on or after the effective date — including by promoting the Service, by using a Referral Code or a Tracked Link, or by accepting Commission — constitutes your acceptance of the change.
20.5 Application to existing Partners
These Partner Terms replace the HyroTrader Affiliate Programme Terms and Conditions dated 1 June 2025 in their entirety, and apply to every Partner, whether approved before or after their effective date, from that effective date.
In respect of a Partner approved before the effective date:
(a) notice of these Partner Terms is given under §20.1, and the notice period in §20.2 applies before they take effect;
(b) the Partner may reject them under §20.3 and terminate, in which case the previous terms continue to apply until the effective date and Commission earned before that date is paid under §20.5(c);
(c) Commission earned before the effective date on transactions qualifying under the previous terms is honoured at the rate applicable under the previous terms, and is paid in accordance with §8 of these Partner Terms; and
(d) from the effective date, attribution, rates, the multi-level structure, payment, clawback and all other provisions of these Partner Terms apply to all new transactions, and no entitlement arising only under the previous terms continues.
20.6 Bespoke written agreements
Where the Provider has entered into a separate written agreement with you that states a specific rate, term or arrangement, that agreement continues on its own terms to the extent it expressly deals with the point, and these Partner Terms apply in all other respects. Where such an agreement has no stated duration, it may be varied or ended on notice under this §20.
21. Governing law and disputes
21.1 Governing law
These Partner Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Emirate of Ras Al Khaimah and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-laws principles.
21.2 Jurisdiction
The Parties submit to the exclusive jurisdiction of the competent courts of the Emirate of Ras Al Khaimah, United Arab Emirates, for the resolution of any dispute arising out of or in connection with these Partner Terms.
21.3 Negotiation first
Before commencing proceedings, a Party must notify the other in writing of the dispute, setting out its nature and the outcome sought, and the Parties must attempt in good faith to resolve it within thirty (30) calendar days of that notice. This §21.3 does not prevent either Party from seeking urgent injunctive or other equitable relief, and does not prevent the Provider or any Affiliate from seeking such relief to protect intellectual property, confidential information, data rights or security, or to prevent fraud or abuse.
21.4 Complaints
You may raise a complaint at any time by email to [email protected]. The Provider will acknowledge it and will try to resolve it within thirty (30) calendar days.
21.5 Business-to-business relationship
You participate as a business, not as a consumer (§2.6). Consumer-protection provisions of the GTC, including GTC §24 and §25, do not apply to your participation as a Partner. This §21.5 does not affect your rights as a Customer under the GTC if you also hold an Account, and does not exclude any mandatory protection Applicable Law confers on you notwithstanding your status.
21.6 Time limit
Any claim against the Provider or an Affiliate arising out of or relating to these Partner Terms or the Affiliate Programme must be brought within one (1) year after the claim arose, or it is permanently barred, save where Applicable Law provides a mandatory longer period.
22. General provisions
22.1 Notices
Notices to the Provider must be sent to [email protected]; a notice of a claim must in addition be sent to [email protected] and to the registered address in §P.1. Notices to you are sent to the email address recorded on your Account or given by notification in the Partner Area, and you must keep that address current and monitored. A notice by email is deemed received on transmission, or on the next business day if transmitted outside business hours in the recipient's location.
22.2 Assignment
You may not assign, transfer, charge, sub-contract or otherwise deal with your rights or obligations under these Partner Terms, or any receivable arising from them, in whole or in part, without the Provider's prior written consent. The Provider may assign or transfer its rights and obligations to any Affiliate or successor without your consent, and may assign any claim arising to it under these Partner Terms to a third party.
22.3 No waiver
A failure or delay in enforcing a right under these Partner Terms is not a waiver of it, and a single or partial exercise does not preclude a further exercise.
22.4 Severability
If a provision is held invalid or unenforceable, it is replaced by a valid provision whose meaning is as close as possible to it, and the remaining provisions continue in full force.
22.5 Entire agreement
These Partner Terms, together with the Schedules, the Code Terms published in the Partner Area, and any bespoke written agreement under §20.6, constitute the entire agreement between you and the Provider in respect of the Affiliate Programme and supersede all prior representations, communications, understandings and arrangements relating to it, including the Affiliate Programme Terms and Conditions dated 1 June 2025.
No statement made on the Website, in marketing material, in a webinar, in a chat, by a business development manager or elsewhere, forms part of these Partner Terms unless it is recorded in the Partner Area or in a bespoke written agreement under §20.6. You confirm that you do not rely on any such statement. This §22.5 does not limit liability for fraudulent misrepresentation.
22.6 No course of dealing
Previous conduct, previous approval of a particular campaign, code, rate or payment, or any custom or practice of the industry, does not vary these Partner Terms, does not create a waiver, and does not create any expectation binding on the Provider, unless confirmed by the Provider in writing.
22.7 Good faith
Each Party will act reasonably and in good faith in exercising its rights and performing its obligations, subject to §1.2(f).
22.8 No third-party rights
Except for the Indemnified Persons under §19 and the Affiliates expressly given rights under §9.5, §13, §14, §15 and §18, no person other than you and the Provider has any right to enforce these Partner Terms.
22.9 Language
These Partner Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version prevails.
22.10 Electronic execution
The Parties agree to contract, and to give notices, by electronic means, and agree that electronic acceptance recorded in the Platform is binding.
22.11 Counterparts and headings
Headings are for reference only and do not affect interpretation (§1.2(d)).

Schedule 1 — Commission Schedule
This Schedule forms part of these Partner Terms and may be amended under §20.
S1.0 What commission is calculated on
The Refundable Challenge Deposit is the only commissionable item (§6.9). The Commissionable Amount is the Deposit actually received and retained, net of discounts, transaction taxes, payment-processing and network fees, and any refunded portion (§6.4). No other product is commissionable unless the business development team has agreed in writing with the individual Partner that it is.
A Deposit returned to a Customer because the Customer succeeded is not a refund and does not reverse Commission (§6.6). The Partner keeps it.
S1.1 The commission table
All three rates are calculated on the same Commissionable Amount for the Qualifying Transaction, determined under §6.4.
|---|---|---|
Level | Whose Referral Code or Tracked Link earned the Qualifying Transaction | Rate on the Commissionable Amount |
|---|---|---|
Level 1 | Your own Referral Code, or your own Tracked Link under §5.4 | Your Base Rate: 10% – 15% as set under §6.2(a), increased up to 40% only by written agreement under §6.2(b), or the code-specific rate under §4.3(e) |
Level 2 | The Partner directly below you in the chain — your Level 2 Sub-Partner — earned the transaction | 2% |
Level 3 | The Partner two places below you in the chain — your Level 3 Sub-Partner — earned the transaction | 4.5% |
S1.2 The Level 2 and Level 3 rates are not a share of anyone’s commission
The Level 2 and Level 3 percentages are applied to the Commissionable Amount itself, exactly as the Level 1 percentage is. They are not a percentage of the Level 1 Partner’s Commission, are not deducted from it, and do not reduce what any other Partner receives. Each is a separate obligation of the Provider (§7.2). The Level 3 rate is the higher of the two because the Partner two places up the chain is the senior Partner, who supports the Partners below, closes the deals and carries the relationship.
S1.3 Worked example
Assume a Network chain A → B → C, in which C is B’s Level 2 Sub-Partner and A’s Level 3 Sub-Partner. A Customer buys a USD 949 Challenge and C earns the transaction — either C’s Referral Code was applied at checkout, or the Customer last clicked C’s Tracked Link within the Cookie Window (§5.4). The Commissionable Amount is USD 949. C’s Base Rate is 15%.
|---|---|---|---|
Partner | Level in respect of this transaction | Rate | Commission |
|---|---|---|---|
C | Level 1 — C earned the transaction | 15% of USD 949 | USD 142.35 |
B | Level 2 — C is B’s Level 2 Sub-Partner | 2% of USD 949 | USD 18.98 |
A | Level 3 — C is A’s Level 3 Sub-Partner | 4.5% of USD 949 | USD 42.71 |
Total paid by the Provider | USD 204.04 |
C receives USD 142.35 whether or not B and A exist. The existence of a Network above C does not reduce C’s Commission. A earns more than B on the same transaction because A is further up the chain: the override rises with seniority.

S1.5 What is never commissionable
Free Trials; sponsored, complementary, promotional and gifted accounts, and Partner Challenge Accounts granted under §6.10; any item other than the Refundable Challenge Deposit, unless agreed in writing per Partner under §6.9; rewards and payouts made to Customers; refunded, reversed and charged-back amounts; transactions on an expired, exhausted, out-of-scope or disabled code; self-referrals and transactions by connected persons; transactions with no valid Referral Code applied at checkout and no Tracked Link click recorded within the Cookie Window (§5.4, §6.7, §6.9).
Not in this list, deliberately: a Deposit returned because the Customer met the objectives of the Challenge. That is success, not a refund, and the Commission stands (§6.6).
Schedule 2 — Brand and Marketing Rules
This Schedule forms part of these Partner Terms, expands §10 and §11, and may be amended under §20. Where this Schedule and §11 address the same point, §11 prevails.
S2.1 The four brand-protection rules, in short
|---|---|---|
Rule | Where | |
|---|---|---|
(a) | No paid ads on brand keywords. No bidding, targeting or serving on “HyroTrader”, “Hyro”, misspellings, or brand-plus-modifier terms, in any ad network. This covers “hyrotrader review” as a paid keyword — the review carve-out in (c) is about organic content, not advertising. | §11.1 |
(b) | No coupon aggregators. No listing a code on a coupon, discount, deal, cashback or extension site. The Provider may withdraw the code and forfeit the traffic’s Commission. | §11.2 |
(c) | No brand-discount ranking, in search or in AI. No page, feed, structured data or other content built to rank or be surfaced for HyroTrader discount or coupon queries. Genuine reviews, comparisons and tutorials are permitted — see §11.3 and S2.4. | §11.3 |
(d) | No brand-confusing identifiers, no impersonation. No domain, subdomain, app name, handle or account containing “hyro” or “hyrotrader”; no posing as HyroTrader support or staff. | §11.4 |
S2.2 Non-exhaustive examples of prohibited keyword targeting (§11.1)
`hyrotrader` · `hyro trader` · `hyrotrader.com` · `hyro trader com` · `hyrotrder`, `hyrotrade`, `hyro traider` and other misspellings · `hyrotrader discount` · `hyrotrader discount code` · `hyrotrader coupon` · `hyrotrader coupon code` · `hyrotrader promo` · `hyrotrader promo code` · `hyrotrader voucher` · `hyrotrader deal` · `hyrotrader offer` · `hyrotrader sale` · `hyrotrader cashback` · `hyrotrader rebate` · `hyrotrader review` · `hyrotrader reviews` · `hyrotrader legit` · `hyrotrader scam` · `hyrotrader login` · `hyrotrader sign up` · `hyrotrader payout` · `hyrotrader refund` · `hyrotrader alternative` · `hyrotrader vs …` · and the equivalent of any of these in any language or script.
The list is illustrative. Any term that a reasonable advertiser would recognise as a Brand Term, or as a Brand Term with a modifier, is caught, however it is spelled, spaced or rendered.
S2.3 Non-exhaustive examples of prohibited placements (§11.2)
Coupon and voucher sites; discount-code directories; cashback and rebate sites and their browser extensions; deal aggregators and deal feeds; "promo code" pages on otherwise unrelated sites; code-sharing communities and channels whose purpose is the distribution of discount codes; any feed, API or dataset supplying codes to any of the above.
S2.4 Prohibited ranking and AI-surfacing tactics (§11.3)
Pages titled or optimised around "HyroTrader discount", "HyroTrader coupon code", "HyroTrader promo" or equivalents; FAQ, review, offer or product structured data asserting a HyroTrader discount; listicles and "best prop firm coupon" pages built around brand-discount intent; content, datasets, repositories or prompts created to be retrieved by an AI assistant in answer to a HyroTrader discount query; automatically generated or spun pages targeting brand-discount intent at scale.
Permitted, subject to §11.3: a genuine “HyroTrader review”, a comparison of crypto prop firms, or a tutorial that is real editorial content, that carries the disclosure required by §10.9, that complies with §10.7 and §10.8, and that includes your official Referral Code within it. Honest criticism is permitted too (§14.3).
Which side of the line am I on? Two questions decide it. First: would a reader say this page is about HyroTrader, or about a HyroTrader discount? Second: if every mention of a discount, coupon, promo or voucher were deleted, would the page still have a reason to exist? A page that is about the firm, and that survives the deletion, is a review and is permitted. A page whose title, headings, URL, structured data or keywords are built around “discount”, “coupon”, “promo”, “voucher”, “deal”, “cashback” or “rebate” together with a Brand Term is not permitted, however much editorial text surrounds it. Paid advertising on brand terms (§11.1) and coupon-aggregator listings (§11.2) stay prohibited either way.
S2.5 Required disclosure wording (§10.9)
A disclosure complies with §10.9 if it is prominent, unavoidable, in the language of the content, and conveys both the relationship and the payment — for example:
"I am a HyroTrader affiliate. If you use my code or my link I may receive a commission. All HyroTrader accounts are simulated — no real capital is traded."
Platform-specific disclosure tools (for example a paid-partnership label) may be used in addition to, not instead of, a disclosure in the content itself.
S2.6 Claims you must never make (§10.7, §10.8)
“Guaranteed profit” · “guaranteed payout” · “guaranteed funding” · “guaranteed pass” · “risk-free” · “no-risk” · “passive income” · “lifetime commission” · “recurring income” · “residual income” · “trade real capital” · “get funded with real money” · “we give you capital” · “regulated” · “licensed broker” · “investment opportunity” · “returns of X%” · any projected income figure for a Customer or a Partner · any statement that a simulated result is a real trading result · “I received a $X payout from HyroTrader” or “I made a $X payout today” said of trading profit on your own account rather than of an amount actually paid to you (§6.10, §10.14) · any presentation of a trading profit certificate as a profit-split certificate or as evidence of a payout.
S2.7 Required accuracy about the product
Where you describe the Service you must describe it accurately and consistently with the GTC and the Trading Rules published on the Website, including that:
(a) all trading is simulated, on real market data, and no order reaches a live venue;
(b) the amount a Customer places to enter a Challenge is a Refundable Challenge Deposit, not a fee or a purchase price, and is returned or retained in accordance with GTC §8;
(c) platform access and simulated trading are available at no cost through the Free Trial (GTC §7.2);
(d) rewards in the Funded Trader Phase are performance-based rewards calculated from simulated results, paid by the Funded Trader Entity under a separate agreement, and are not investment returns, wages or guaranteed income (GTC §13.1, §P.4); and
(e) the current rules, objectives, drawdown limits, targets, splits and payout terms are those published on the Website from time to time — you must not publish figures you have not verified against the Website, and you must correct your material when they change.
S2.8 Responsibility for agencies and sub-contractors
Everything in §10, §11 and this Schedule 2 applies to any agency, media buyer, freelancer, employee, sub-affiliate or automated system you engage or permit to promote the Service. Their breach is your breach (§11.7).
END OF PARTNER TERMS.
